1. Acceptance of Terms and Legal Authority
These Terms of Service (“ToS”) constitute a legally binding agreement between Hemidi Joint Stock Company (“Hemidi,” “we,” or “us”) and any organization, business, or individual that registers for, accesses, or uses the Selling Sync software (the “Customer” or “User”).
By completing the account registration process, selecting the “I agree to the Terms of Service” checkbox, or beginning to use any feature available on sellingsync.com, the Customer acknowledges that they have read, understood, and agreed to comply with these ToS and the accompanying Privacy Policy.
If the Customer acts on behalf of a business or organization, the Customer represents and warrants that they have the legal authority to bind that entity to this agreement.
2. Software Service Model and No Agency Relationship
Selling Sync is a Software as a Service (SaaS) solution that helps sellers automate operations across multiple e-commerce platforms.
Hemidi acts solely as a provider of technical software tools. Hemidi is not an e-commerce marketplace, a shipping provider, an authorized agent, or a direct party to any transaction involving the sale or purchase of goods between the Customer and end buyers on third-party e-commerce platforms.
3. Account Registration, Management, and Security
To access the software, the Customer must register an account and provide accurate information, including their full name, business email address, telephone number, business name, and valid payment information. The Customer must keep this information up to date.
The Customer is responsible for maintaining the strict confidentiality and security of their login credentials, passwords, API keys, and encrypted connection credentials. All activities conducted through the Customer’s account will be deemed to have been performed or authorized by the Customer.
The Customer must notify Hemidi immediately at contact@hemidi.com upon discovering any unauthorized access or security incident.
4. Mandatory Identity Verification via VNeID System
Verification Obligation: To ensure compliance with the laws of the Socialist Republic of Vietnam regarding the management and operation of e-commerce platforms and digital businesses, Customers utilizing Selling Sync for business operations, storefront management, or order fulfillment are strictly required to link and verify their accounts with the National Electronic Identification Application (VNeID) issued by the Ministry of Public Security.
Scope of Application: This mandatory identity verification applies to all account owners who are individual merchants, representatives of household businesses, or legal corporate entities conducting commercial activities through the Selling Sync platform.
Compliance Timeline: Customers must complete the VNeID linking process within the timeframe stipulated by applicable laws or in accordance with direct system notifications provided on the Selling Sync platform.
Non-Compliance Consequences: In the event that a Customer fails to complete the verification, provides fraudulent identification data, or has their VNeID account suspended by competent state authorities, Hemidi (Selling Sync) reserves the right to:
- Temporarily restrict or suspend certain platform features, including cross-channel storefront synchronization and order fulfillment management.
- Temporarily lock the Customer's account until valid identity verification is fully completed.
- Selling Sync and Hemidi shall be fully indemnified and held harmless from any business disruptions, financial losses, or damages arising out of account restrictions due to the Customer’s failure to comply with VNeID verification regulations.
5. Authorized Use and Prohibited Activities
Hemidi grants the Customer a non-exclusive, non-transferable right to use the Selling Sync software for the Customer’s internal business operations, for the duration of the Customer’s subscribed plan.
The Customer is prohibited from engaging in any of the following activities:
- Reproducing, copying, reselling, renting, or redistributing the Selling Sync software in any form without Hemidi’s written consent.
- Disassembling, decompiling, reverse engineering, or attempting to extract the software’s source code.
- Using the software to store or transmit unlawful information, infringe third-party intellectual property rights, or distribute viruses or malicious code.
- Intentionally circumventing access controls, interfering with enterprise data isolation features, or disrupting Hemidi’s network infrastructure.
- Misusing automation tools to engage in fraudulent activities or violate the Terms of Service of partner e-commerce platforms.
6. Third-Party API Integrations and Marketplace Liability Disclaimer
Selling Sync operates by connecting to and interacting with the application programming interfaces (APIs) of third-party e-commerce platforms, such as Amazon, Shopify, Walmart, Etsy, and eBay.
The Customer is solely responsible for keeping their seller accounts on these platforms active and compliant with applicable requirements.
Hemidi shall not be liable for any service interruption, API disconnection, seller account suspension, or data loss arising from sudden policy changes, technical failures, or enforcement decisions by third-party e-commerce platforms.
7. AI Recommendations and Disclaimer of Liability
The Selling Sync platform uses a Decision Intelligence Layer (DIL) and AI algorithms to analyze business metrics and provide operational recommendations, such as pricing adjustments, advertising cost-per-click (CPC) optimization, and predictive restocking alerts (Predictive Restock).
These recommendations are provided for analytical support and informational purposes. The Customer retains full authority to approve, execute, or decline these tasks.
Hemidi disclaims all liability for any financial damage, loss of revenue, or adverse impact on seller account metrics arising from the Customer’s implementation of actions recommended by the software, whether automatically or manually.
8. Suspension and Termination of Services
Hemidi reserves the right to suspend or terminate the Customer’s access to the Services without prior notice in any of the following circumstances:
- The Customer breaches any provision of these ToS.
- The Customer’s payment of service fees is overdue by more than 14 business days.
- Suspension or termination is required by a competent governmental authority.
Upon termination of the Services, the Customer has 30 days to request an export of their own operational data before the system places the data in a frozen archival state or permanently deletes it in accordance with the applicable data retention rules.
